AlphaTime Acquisition Corp (ATMC) has announced a merger agreement with HCYC Group Company Limited, a registered holding company in the Cayman Islands. The transaction will involve multiple mergers and is expected to be completed in early 2024. As a result, HCYC shareholders will receive 7,500,000 ordinary shares of PubCo, with a value of $75,000,000. HCYC Asia, a subsidiary of HCYC, has been operating in Hong Kong for thirteen years and holds a professional insurance brokerage license. After the merger, PubCo is expected to become a NASDAQ-listed public company. The closing of the transaction is subject to regulatory approval and shareholder consent.
