Apple Inc. is experiencing a major board shake-up with the retiring of longtime directors Al Gore and James Bell, who are both 75 years old. Former Aerospace Corp. CEO Wanda Austin will be joining the board. CEO Tim Cook praised Gore and Bell, remarking on the contributions they made during their tenure with the company.
The unusual move is a shift for Apple’s board, and the replacement director, Wanda Austin, is said to have a significant track record of “advancing innovation and shaping corporate strategy.” Apple is sticking by its policy of mandatory retirement for directors at age 75, in spite of having another director due to turn 76. It is unclear if this will apply to Chairman Arthur Levinson when he turns 75 next year. The company also disclosed compensation details for Cook and other executives.
The company is asking shareholders to vote in favor of the board members and executive compensation. Apple is urging investors to reject a proposal demanding a report about the use of artificial intelligence at the company, saying the broad report would be damaging to competitive position and premature in this developing area. Apple is planning to unveil a slate of AI-based tools for the iPhone and other devices as early as June.
