Musk criticized the request as “criminal,” while the legal team argues the fee is tied to the benefit Tesla received from the return of Musk’s pay package. The fee would be tax-deductible to Tesla and potentially subject to negotiation.
The legal team behind the case against Musk’s pay package consists of three law firms, requesting the fee in the form of Tesla stock. They argue that the structure of the fee directly ties to the benefit created for Tesla without affecting the company’s balance sheet. The judge overseeing the case has previously expressed astonishment at Musk’s pay, and Tesla may challenge the fee request.
Delaware judges have highlighted the importance of attorneys who pursue cases through litigation stages earning higher percentages of recovery to reflect the risk and effort involved. The legal team behind the Musk pay case defends their requested fee, equating it to about 11% of the judgment.
