Institutional Shareholder Services (ISS) recommends against ratifying Elon Musk’s $56B pay package at Tesla, calling it excessive. Glass Lewis also advised against it. ISS supports votes for Kimbal Musk, Elon’s brother, but against Tesla director James Murdoch. The upcoming vote is crucial for Musk’s leadership and Tesla’s future reputation.
The compensation plan, tied to Tesla’s market value and operational achievements, is the largest for a U.S. corporate CEO. A Delaware judge voided the plan in January, leading Tesla to propose moving incorporation to Texas. A re-ratification vote is scheduled for June 13 at Tesla’s annual meeting.
