Banks Look to Sell $2.2 Billion Debt for ABC’s TI Fluid Deal

Citigroup and JPMorgan are seeking $2.2 billion in debt financing for ABC Technologies to support its purchase of TI Fluid Systems. The financing will include leveraged loans and high yield bonds in dollars and euros. Pre-marketing has begun, with plans to launch the debt sale soon. The deal has an enterprise value of about £1.8 billion.
The acquisition deal includes a 37% premium for TI Fluid Systems, with ABC agreeing to pay 200 pence per share in cash. This buyout financing comes amidst economic uncertainty caused by US trade tariffs. Banks are also preparing to sell debt for other acquisitions, such as Bain Capital’s acquisition of Apleona Group GmbH.
Bain Capital’s acquisition of Apleona Group GmbH and Clayton Dubilier & Rice’s purchase of a stake in Sanofi SA’s consumer health division are among the latest deals to tap into the loan market. Debt sales totaling €2.7 billion and €5.45 billion are in the works to fund these acquisitions. The market remains active despite economic uncertainty.
