Airbus to Acquire Spirit AeroSystems’ Industrial Assets

Airbus SE has finalized an agreement to acquire industrial assets from Spirit AeroSystems for its commercial aircraft programs. The assets include sites in North Carolina, France, Morocco, and production facilities in Kansas and Northern Ireland. Airbus will also take over wing component production in Scotland.

As part of the deal, Spirit AeroSystems plans to sell its site in Malaysia to a third-party owner. The compensation for this transaction amounts to $439 million, subject to adjustments. The agreement aligns with Airbus’ 2025 financial estimates and aims to ensure stability in the supply chain for its aircraft programs.

The transaction is expected to close in the third quarter of 2025, pending regulatory approvals. Airbus will also provide Spirit AeroSystems with non-interest bearing lines of credit totaling $200 million to support Airbus programs. The agreement seeks to enhance operational and financial sustainability for key work packages.

By acquiring these assets, Airbus aims to secure a stable supply chain for its commercial aircraft programs. The official transfer of operations is projected to occur in the third quarter of 2025, pending regulatory approvals. Airbus will also provide Spirit AeroSystems with lines of credit to support Airbus programs.
