GATX, Brookfield Infrastructure to buy Wells Fargo’s rail assets for $4.4bn

GATX has agreed to buy 105,000 railcars from Wells Fargo for $4.4bn in a joint venture with Brookfield Infrastructure. GATX will own 30% equity, with Brookfield holding 70%. The portfolio includes freight cars with a 97% utilization rate. The deal is set to close in Q1 2026.

GATX will manage the railcars and finance lease assets, while Brookfield will acquire Wells Fargo’s rail finance lease portfolio. GATX’s $400m equity investment will be funded through operating cash flow and financing. The JV also secured a $3.2bn unsecured term loan and a $250m revolving credit facility.

The transaction, subject to regulatory approvals, is expected to close in the first quarter of 2026 or earlier. GATX and Brookfield Infrastructure have agreed to acquire Wells Fargo’s rail assets for $4.4bn, with GATX owning 30% equity in the joint venture. The deal includes a diverse portfolio of freight cars with a high utilization rate.
