Gold Fields Limited (GFI) has agreed to acquire Gold Road Resources Ltd (GOR.AX, ELKMF) for A$3.40 per share, valuing Gold Road’s equity at about A$3.7 billion. Shareholders will receive a guaranteed cash payment of A$2.52 per share, with an additional variable cash amount based on their holding in Northern Star. The total cash consideration represents a 43% premium to Gold Road’s undisturbed closing share price. Gold Road plans to declare a fully franked special dividend of approximately A$0.35 per share if the Scheme becomes effective. The Gold Road Board unanimously supports the Scheme, pending approval from shareholders and an independent expert assessment.
