T-Mobile offering to exchange US Cellular's senior notes with identical terms.

T-Mobile US, Inc. has launched an offer to exchange several senior notes issued by United States Cellular Corporation as part of an asset acquisition deal. The exchange includes notes due in 2033, 2069, and 2070, which will be replaced with new T-Mobile USA-issued notes of identical terms. For each validly tendered note, T-Mobile offers a principal-for-principal exchange plus an early participation premium and a consent fee. The new notes will carry the same interest rate, maturity, and redemption terms as the old ones. T-Mobile’s stock is currently trading at $241.75 on the Nasdaq Global Select Market.
