Plains All American Pipeline announced the sale of its NGL business to Keyera Corp. for $5.15 billion CAD ($3.75 billion USD). The transaction is set to close in Q1 2026, with Plains retaining NGL assets in the US and all crude oil assets in Canada. Proceeds of approximately $3.0 billion USD will go towards M&A, capital structure optimization, and common unit repurchases. The sale aims to enhance Plains’ free cash flow profile and financial flexibility. The restructuring will result in a one-time special distribution of around $0.35 per unit to offset potential tax liabilities for shareholders.
