US requires Keysight to divest tech assets before buying UK-based Spirent

The U.S. government mandates Keysight Technologies to sell three of Spirent Communications’ businesses to address antitrust concerns before acquiring the British company for $1.5 billion. The divested assets include high-speed ethernet testing, network security testing, and radio frequency channel emulation businesses. Keysight plans to sell these businesses to Viavi Solutions for up to $425 million. Keysight and Spirent collectively dominate the high-speed ethernet testing, network security, and radio frequency channel emulation markets. Failure to divest could harm competition and customers. Keysight and Spirent have not commented on the matter. Keysight, based in Santa Rosa, California, agreed to purchase Spirent for 1.16 billion British pounds, now approximately $1.57 billion. Viavi had initially proposed to acquire Spirent but was outbid by Keysight. ($1 = 0.74 pounds)
