Electro Metals and Mining Inc. is a Canadian company focused on acquiring, exploring, and potentially developing precious and critical metals in Quebec. The company has an option agreement for an exploration property near Rouyn-Noranda with copper, zinc, silver, and gold resources. The project has past production and a 43-101 measured and indicated resource that can be expanded. The company plans to focus on resource and exploration drilling to move the project toward a production decision.

The completion of the Proposed Transaction is subject to TSXV acceptance and disinterested shareholder approval. The proposed Transaction involves a number of conditions that must be met for completion, including share capital adjustments, and future operations planning.
