NCL Corporation Ltd. has initiated a cash tender offer to purchase its outstanding 5.875% Senior Secured Notes due 2027 and 5.875% Senior Notes due 2026. The terms are described in the Offer to Purchase dated September 8, 2025, with a Tender Offer expiration date of September 12, 2025. Concurrently, NCLC launched a New Unsecured Notes Offering of $2,050.0 million. The Tender Offer Consideration will be paid in cash on the Settlement Date of September 17, 2025, with proceeds from the New Unsecured Notes Offering. Conditional notices of redemption have also been issued for the Notes not tendered in the offer.
