The lawsuit alleges that California is targeting large corporations as “most responsible” for climate change. ExxonMobil argues that the state is trying to regulate conduct and speech beyond its borders by requiring global operations reporting. The company maintains that California is attempting to shame corporations into compliance with climate policies.

ExxonMobil asserts that one of the laws conflicts with federal securities laws governing disclosure of financial and environmental risks by publicly traded companies. The company argues that states cannot impose additional or inconsistent disclosure requirements on matters overseen by the US Securities and Exchange Commission.
