Predictive Discovery Limited (PDI) and Robex Resources Inc. have agreed to merge, creating West Africa’s next mid-tier gold producer. The combined company is expected to have a production of over 400kozpa Au by 2029 and combined Mineral Resources of approximately 9.5Moz Au inclusive of Ore Reserves of around 4.5Moz Au. The transaction will drive economic growth in Guinea and enhance critical infrastructure and services while strengthening the local labor force. The combined company’s leadership team, led by Andrew Pardey and Matthew Wilcox, will work towards developing and operating the portfolio. The deal is expected to close in December 2025 or early 2026.
Under the agreement, PDI will acquire all issued and outstanding Robex Shares through a statutory plan of arrangement. Robex shareholders will receive 8.667 PDI Shares for each Robex Share held. The transaction will result in PDI issuing approximately 2,115 million PDI Shares to Robex shareholders, with the potential for an additional 497 million PDI Shares based on the conversion of Robex’s convertible securities. After the transaction, existing PDI shareholders and former Robex shareholders will own approximately 51% and 49% of the combined company, respectively.
The strategic rationale for the merger includes combining two of the largest, lowest-cost, and most advanced gold projects in West Africa to enhance scale, access to capital, and competitiveness. The combined company is expected to have over 400kozpa Au of production by 2029, with combined Mineral Resources of approximately 9.5Moz Au and combined Ore Reserves of about 4.5Moz Au. The deal aims to leverage cash flows from Robex to fund the development of PDI’s Bankan Project and enhance the capital markets presence of the combined entity.
