Labrador Gold (NKOSF) acquires 16,666,667 Subscription Receipts of Northern Shield Resources for $1,000,000.02. Funds held in escrow pending LabGold shareholder and regulatory approval for change of business to include exploration and investment. Each Receipt entitles LabGold to one Unit of Northern Shield, consisting of a common share and a warrant. LabGold also gains pre-emptive rights and the ability to appoint a technical advisor. Units subject to a four-month lockup agreement. If LabGold shareholders reject the change of business, funds will be returned minus $20,000 for Northern Shield’s expenses.
