Veraxa Biotech going public in $1.6bn SPAC deal with Voyager, focusing on cancer treatments.

Swiss oncology firm Veraxa Biotech is going public in the US through a merger with Voyager Acquisition Corp, a healthcare SPAC. The deal, expected to close in Q4 2025, values the combined entity at approximately $1.64bn. Veraxa will trade on the Nasdaq under the ticker symbol VERX, gaining access to US capital markets.

Veraxa’s merger with Voyager will provide the company with around $253m in cash from Voyager’s trust account. Veraxa plans to pursue additional financing to support R&D efforts. The company’s core innovation lies in its BiTAC platform, designed to enhance the safety and specificity of antibody-based cancer treatments.

Veraxa CEO Christoph Antz highlighted the company’s platform innovation in addressing the limitations of current cancer therapies. Voyager’s chairman noted the growing interest in ADC and bispecific antibody therapies, citing their potential to revolutionize oncology. The antibody drug conjugate market was valued at $8.6bn in 2023, expected to exceed $45bn by 2030.

Recent transactions in the ADC space support a positive outlook, with deals worth billions of dollars. MSD, GSK, and Sanofi are among the companies involved in significant ADC agreements. Veraxa’s merger with Voyager is part of the trend towards innovative oncology treatments.
