Keysight and Spirent will divest certain business lines as part of acquisition settlement

Keysight Technologies and Spirent Communications have agreed to divest certain business lines to VIAVI or another approved acquirer as part of a consent decree with the DOJ in connection with Keysight’s proposed acquisition of Spirent. The proposed settlement includes an Asset Preservation and Hold Separate Stipulation and Order filed in court. Keysight expects the sale of the divested business to complete shortly after the acquisition. An amendment agreement with VIAVI now includes Spirent’s channel emulation business line in the divestiture scope. The process is in accordance with the DOJ’s review of the acquisition.
