Disney to pay almost $439 million to take full control of streaming service Hulu

Disney will pay Comcast’s NBCUniversal almost $439 million for its stake in Hulu, gaining full control of the streaming service. The deal closes out a years-long appraisal process. Disney acquired a 33% stake in Hulu from Comcast for at least $8.6 billion in 2023, reflecting a guaranteed floor value of $27.5 billion.

Disney has operated Hulu since 2019, when Comcast relinquished control and became a silent partner. Hulu was established in 2007 as an online platform for TV shows, with support from major entertainment companies. Disney joined in 2009, eventually acquiring majority control after purchasing 21st Century Fox.

A regulatory filing revealed that Disney’s appraiser valued Hulu below the guaranteed floor value, while NBCUniversal’s appraiser valued it significantly higher. A third appraiser determined Disney will pay $438.7 million for the Hulu stake. The transaction is expected to close by July 24.

Disney CEO Bob Iger expressed satisfaction at the resolution, highlighting the opportunity for deeper integration of Hulu’s content with Disney+ and ESPN’s direct-to-consumer product. The deal is not expected to affect Disney’s fiscal 2025 earnings forecast. Disney’s stock rose slightly in morning trading on Tuesday.
