BioNTech to acquire CureVac for $1.25 billion, focusing on mRNA-based cancer treatments

German biotech firm BioNTech has agreed to acquire CureVac for $1.25 billion in BioNTech shares to focus on mRNA-based cancer treatments. CureVac shareholders will receive a 55% premium and hold a 4%-6% stake in BioNTech. CureVac’s shares surged 27%, valuing the company at $1.2 billion. BioNTech aims to strengthen cancer immunotherapy research with the acquisition.

CureVac shifted focus to oncology a year ago, selling remaining vaccine development to GSK after COVID vaccine failure. The deal with BioNTech will end a legal battle over mRNA patent infringement and vaccine revenues. CureVac’s shares, once worth 120 euros, are now trading at 4.65 euros. BioNTech recently secured a partnership with Bristol Myers Squibb for cancer immunotherapy development.

Each CureVac share will be exchanged for $5.46 in BioNTech ADS, subject to a collar mechanism. The exchange ratio depends on BioNTech ADS price, with a range of 0.04318 to 0.06476. The deal is supported by SAP SE co-founder Dietmar Hopp, who holds a 37% stake in CureVac. The German government, owning 13% of CureVac, welcomes the creation of a “new German biotech champion.”
