Supermicro prices $2B in convertible senior notes, plans to buyback 4.9M shares

Super Micro Computer, Inc. announced the pricing of $2.0 billion in convertible senior notes due 2030, with an option for an additional $300 million. The company plans to repurchase 4.9 million shares of its common stock alongside the offering, expected to close on June 26. The notes will not bear regular interest and have an initial conversion rate of 18.1154 shares per $1,000 principal amount. Net proceeds are estimated at $1.96 billion, with plans to use funds for capped call transactions, share repurchases, and general corporate purposes.
