South Africa’s AngloGold Ashanti will acquire Canadian miner Augusta Gold for $111m, expanding its presence in Nevada’s Beatty district. The deal includes the Reward gold project and Bullfrog deposit. The acquisition is expected to close in Q4 2025 pending shareholder approval. Augusta Gold will become a subsidiary of AngloGold Ashanti.

AngloGold Ashanti will repay $32.6m in stockholder loans as part of the acquisition. The company sees value in North America’s gold district and aims to develop it with more flexibility and stakeholder engagement. Augusta Gold’s board and key executives have recommended the transaction, supported by 31.5% of outstanding shares.

Augusta Gold’s executive chairman views AngloGold Ashanti’s offer as a superior path forward for stockholders, providing a premium and immediate liquidity. The alternative route of constructing the Reward project would involve dilution, time for construction, and reaching full operation by mid-2027. The merger is seen as a beneficial move for all parties involved.
