Workhorse Group Inc. has signed a new exclusivity agreement with a U.S.-based electric commercial vehicle manufacturer for a potential merger. The agreement puts restrictions on Workhorse from entering into alternative transactions for a period of seven days. If a definitive agreement is reached, Workhorse plans to file a proxy statement with the SEC. Participants in the potential transaction may be deemed as “participants” in the solicitation of proxies from stockholders. The Company warns of forward-looking statements and potential risks associated with the transaction. This is not a solicitation of securities and does not constitute an offer to sell.
