Beacon Roofing agrees to $11 billion QXO buyout, ending takeover battle

Beacon Roofing Supply accepts an $11 billion buyout offer from QXO, owned by billionaire Brad Jacobs, after rejecting a slightly lower bid. The deal gives QXO a strong foothold in the building products distribution industry with Beacon’s extensive network in the U.S. and Canada.

QXO will pay $124.35 per share in cash, slightly higher than the previous offer. Analysts suggest the deal became more appealing to Beacon amid rising macro uncertainty, including concerns over Trump’s import tariffs and the possibility of an economic slowdown.

QXO plans to fund the acquisition with $5 billion in cash and financing commitments. The company recently secured $830 million in private placement to support the deal. The transaction, expected to close by the end of April, will see QXO withdrawing its nomination of 10 independent director nominees for Beacon.
