Mesa Air Group’s shares surged over 50% after agreeing to merge with Republic Airways in an all-stock deal. The new firm, Republic Airways Holdings, will list on Nasdaq as “RJET.” The merger is expected to close in late 2025, creating value for shareholders and erasing Mesa’s debt.
Upon closing, Republic shareholders will own 88% of the combined company, with Mesa shareholders holding 6-12%. The deal was unanimously approved by both boards, aiming to create a well-capitalized airline with increased economies of scale. Republic Airways will continue to operate regional flights for major carriers.
Republic Airways CEO Bryan Bedford, President Trump’s FAA nominee, expressed optimism about the merger, citing a shared mission to connect communities. The combination aims to benefit from the expertise of both companies, creating long-term value for stakeholders.
